Board of directors in limited liability company(LLC) in Poland

The board of directors in LLC in Poland handles the affairs of the company and represents it. The board in LLC consists of one or more members. Management in LLC may be appointed from among or outside of the group of shareholders. A member of the board of directors is appointed and dismissed by a resolution of shareholders, unless the company agreement provides otherwise. A member of the board may be revoked at any time by a resolution of shareholders.

If the board in LLC is multi-person, the way of representation is defined in the company agreement. If the company agreement does not contain any provisions on this subject, two members of the board or one member of the management board together with the proxy is be required to make statements on behalf of the company. Statements made to the company and the delivery of company letters may be made to one member of the board of directors or proxy.
